Well typography is a big part of it. It really sells the piece as vintage. I found this great book that is all about golden age comic covers, so it's a great reference.
And of course the wear and tear helps make it look old For that i scanned in a bunch of my old comics that are heavily distressed. They really work great. Then it's just a matter of selecting the worn parts with the magic wand in photoshop and mixing it with grunge brushes and stains. And of course my favorite part...writing on it with the brush tool to simulate pen marks.
Also it's good to throw a layer of yellow over the whole thing and experiment with blending modes.
I'm sure there are tons of other ways you can do it, but that's the typical process i use.
